King & Spalding’s Private Equity practice is well-versed in fund formation, mergers and acquisitions, acquisition finance, compliance issues, securities offerings, tax, and other related issues. We advise clients on transactions in the U.S. and throughout the world, including Europe, Asia, Africa, South America and the Middle East. We also offer deep industry experience in industry sectors such as energy, healthcare, life sciences, real estate and technology.  

Our Private Equity team helps clients execute the investment, M&A and financing transactions that are integral to private equity investment and exit strategies. We have led hundreds of such transactions, ranging in size from less than $25 million to more than $25 billion.

We work across all industry sectors, with particular concentration in:

  • transactional and regulatory work in energy markets — domestic and international;
  • U.S. healthcare companies involved in the delivery of healthcare and payment for healthcare services, as well as pharmaceutical, biotech and medical device companies;
  • private real estate investment funds; and
  • transactional and regulatory work in the technology sector.

Our Private Equity lawyers are experienced in organizing private investment funds and fund management companies. We have complementary depth in separately advising portfolio company management on its participation in buyouts and other private equity investments by funds. Our employee benefits and tax lawyers also help portfolio company managers achieve their equity incentive and compensation objectives over the life of a fund’s investment.

Our fund, geographical and investment cycle footprint is inclusive. We advise buyout funds, real estate funds, sovereign wealth funds, venture capital funds, and other alternative investment vehicles and other private equity investors doing business in the North American, Latin American, European, Middle Eastern, Russian and Asian markets.

Throughout the investment cycle, we assist them in connection with their control and minority investments, including: 

  • initial acquisitions;
  • divestitures;
  • add-on acquisitions;
  • financings; and
  • exit transactions, including dispositions, IPOs and complex recapitalizations.
