Our team regularly advises private fund sponsors in the formation of hundreds of investment vehicles, including private equity funds; real estate funds and REITs; debt funds; hedge funds; venture capital funds; energy and infrastructure funds; funds of funds; special situation funds; and Shari’ah-compliant funds.
We have particular expertise in the formation of open- and closed-end funds for investment in real estate across a wide range of geographies, property types and return profiles. We are also the market leaders in structuring funds and transactions on a Shari’ah-compliant basis and in funds authorized by the Saudi Arabian Capital Market Authority, having advised on the first CMA approved listed REIT in Saudi Arabia.
We understand the unique tax issues presented by funds and work with sponsors to develop structures that satisfy the tax needs of varied classes of investors and target investments. We counsel our clients on how to address the evolving intricacies of U.S. and international regulatory requirements for managers of private investment funds, including matters arising under the U.S. Investment Advisers Act, Investment Company Act, Dodd-Frank Act, the Volcker Rule, the Commodity Exchange Act, EU Alternative Investment Fund Managers’ Directive (AIFMD), UK Financial Services Act and the German Alternative Investment Fund regulations.
We work with ERISA investors, fund of funds, ultra-high net worth investors and other investors in analyzing and negotiating fund terms and addressing investor specific business, tax and regulatory issues associated with private fund investments. We also assist institutional investors with the due diligence, structuring and negotiation of complex secondary transactions.
Our team has particular expertise in advising fund sponsors and investment management teams on their participation in buyouts and other investment management transactions. Our interdisciplinary team helps management teams achieve their equity incentive and compensation objectives in both the buyout transaction and over the life of the investment management business.
