Meshaal Alyahya is an Associate in the Corporate, Finance, and Investments practice group in Riyadh. He has extensive experience in advising Saudi and international clients on various legal matters, including M&A, capital markets, real estate, investment funds, and corporate restructuring.

Meshaal has trained at leading law firms in Riyadh. Prior to joining K&S, Meshaal worked as an associate at a prominent Saudi Arabian law firm in Riyadh. He holds an LLB from King Saud University and received his LLM degree at Duke University School of Law.

Meshaal is a member of the Saudi Arabian Bar.

Meshaal advises clients on a wide range of corporate matters, including M&A, capital markets, and investment funds. In addition, he has actively assisted our real estate team, utilizing his knowledge of the local regulations and rules applicable to real estate transactions. Meshaal has also represented clients in different commercial and administrative matters before Saudi courts.

Advised CMA real estate investment funds on their acquisitions of real estate assets with an aggregate value exceeding SAR 5 billion. Meshaal’s role included conducting LDD reports, drafting SPAs and escrow agreements, and liaising with relevant governmental authorities.

Advised a real estate developer on its joint venture with a semi-governmental body to build a mega residential area with an initial investment exceeding SAR 500 million. Meshaal’s role included drafting the JV, development lease, development and property management agreements, and engaging in negotiations with the opposing party.

Advised Alistithmar Capital on the disposal of its entire stake in Riyadh to Roshen with a value a total value of SAR 2B. Meshaal’s role included preparing ancillary documents to the SPA, and help the parties closing the deal.

Advised Morabaha Marina on a SAR 70M acquisition of 80% stake in a SAMA regulated Fintech company, including analyzing the legal risks imposed on the target company and obtaining necessary approvals.

Advised multiple Private Equity investors on various transactions across sectors such as industrial, F&B, TMT, and financial institutions, including conducting LDD reports and drafting relevant SPAs and ancillary documents.

Advised a Saudi manpower company on a private placement, including the restructuring the group, updating corporate governance policies, and liaising with regulatory authorities and obtain their approvals.

Advised an integrated telecommunications company on its parallel market listing, including conducting due diligence, updating corporate governance policies, and drafting the prospectus.

Advised a polyethylene pipes manufacturer on its parallel market listing, including conducting due diligence, drafting the prospectus and relevant filing documents, and coordinating with underwriters and authorities.
