During this e-Learn, we will discuss what King & Spalding attorneys and their clients are seeing in the market as those activities for which borrowers must obtain lender consent and even those activities for which lenders must obtain borrower consent. We will look at the arguments of both borrowers and lenders regarding (i) the oversight lenders should have over items such as leases, material contracts and transfers of ownership interests in the borrower and (ii) the oversight borrowers should have over transfers of a lender’s interests in a real estate loan.
In addition, we will address (i) whether lenders at every level of the debt stack in a real estate loan should be entitled to the same consent rights and (ii) if a certain level of the debt stack has a consent right, whether the consent of all lenders at such level should be required.
