Michael Urschel and Matthew Sandiford of King & Spalding LLP will present a King & Spalding LLP e-Learn presentation called “Understanding Securitization and Structured Finance Techniques for Traditional Lenders.” Our speakers will walk through the basics of securitized and structured finance facilities, including isolation of assets, bankruptcy-remote transactions and waterfall technology. Our focus will be on understanding these facilities and transactions and – in particular – their importance and application inside a capital structure that also contains traditional secured financing. We will indicate a number of items and issues that a traditional lender would want to know and understand prior to lending to a company that has a securitization or other structured finance facility as a part of its capital structure. Our presentation will also include several techniques and best practices for introducing structured finance techniques to enhance traditional lending transactions.
