During his campaign, President Donald Trump stated that the Dodd-Frank Act needed to be “eliminated or changed greatly”. Republican lawmakers have proposed legislation to scale back significant portions of the Dodd-Frank Act, and the Trump Administration has issued directives that would require wholesale review of the Dodd-Frank Act and its impact on American businesses. This program will discuss the status and outlook for SEC rulemaking on corporate governance and associated public company disclosures under the Dodd-Frank Act, the impact of potential changes to the Dodd-Frank Act on public company corporate governance practices and associated disclosures, and provide recommendations for public companies on corporate governance practices and disclosures while the Dodd-Frank Act remains subject to review. This program will be of interest to directors of public companies, corporate secretaries, governance officers, securities lawyers, and officers in the human resources, investor relations and public reporting functions.
