Project Finance

Location: Denver or New York
Type of Experience: King & Spalding seeks a highly qualified mid and senior-level project finance and development attorney with experience in project finance for its Denver or New York office, preferably including familiarity with project finance at a large national or international law firm. Experience with credit and security documentation is necessary, and expertise with diligence of large renewable and conventional power and energy projects will be a core competence. Strong applicants will have substantial experience running closings for project finance and acquisition (leveraged) finance transactions in power, energy and infrastructure, as well as related bid and commitment papers. A blend of lender and sponsor side experience is a benefit, including experience with tax equity financings and other financings for renewables, transportation infrastructure and conventional power generation. Experience with ISDA, EEI, and other similar enabling documentation will be favorably considered. This is an excellent opportunity for an ambitious senior associate to join a young and growing project finance team with significant opportunity for advancement, expansion, and leadership.

Type of Experience: King & Spalding seeks a highly qualified mid-level associate for its growing Tax practice in Atlanta, New York, or Washington D.C. Qualified candidate will be a self-starter with great client management skills, superior academic credentials and previous large law firm experience. Candidates will also have 3-6 years of transactional tax experience, including real estate funds/JVs, Private Equity and Strategic M&A, finance and restructuring work, and tax controversy work. Fund formation and partnership tax experience, structuring of inbound foreign investment, and REIT and real estate finance experience would be ideal.

Technology Transactions and Sourcing

Type of Experience: King & Spalding seeks a mid-level associate to join the firm's industry-leading Technology Transactions and Sourcing (TTS) practice group. office. TTS lawyers structure, negotiate and close complex deals relating to the development, deployment, licensing, use and disposition of technology and intellectual property, the sourcing of IT and business process services, and the negotiation and implementation of complex commercial, procurement and industrial transactions. Our clients include the world’s leading developers and vendors of technology as well as buyers and licensees of technology, including many Fortune 500 and Global 2000 companies.
The ideal candidate will have 3-6 years of experience doing complex technology and intellectual property deals, including software licensing and cloud services agreements; software, data and IP development agreements; reseller and distribution agreements; e-commerce agreements; Al/ML development, licensing and services agreements; media, entertainment and other content licensing deals; global IT, facilities and business process outsourcing (BPO) transactions; and digital infrastructure (including data centers and telecom) deals. The candidate should also have experience conducting IP due diligence in M&A, private equity and other corporate and financial transactions. Experience in the fields of drug and medical device development; data privacy and security; and/or government services is welcome. Candidates should be self-starters with excellent analytical, writing and project management skills, the ability to work collaboratively across teams and offices, current law firm experience; and superior academic credentials from a top-tier law school, including relevant coursework in business, technology and intellectual property law subjects.
