Ryan Gabay is a senior associate in King & Spalding’s New York office and a member of the firm’s Trial & Global Disputes practice. Ryan represents public and private companies, directors, officers, and other individuals in high-stakes commercial litigation and regulatory matters, including cases involving the federal securities laws, fiduciary obligations of corporate directors, tortious conduct, and breach of contract.
Ryan graduated from Fordham University School of Law, where he served as an Articles & Notes Editor of the Fordham Law Review.

Representing Global Brokerage, Inc. and its CEO and CFO in a federal securities class action alleging claims under Sections 10(b) and 20(a) of the Securities and Exchange Act of 1934.
Represented Darwin Deason, Xerox’s third-largest shareholder, in a successful action to stop Fuji from acquiring control of Xerox in a proposed $6.1 billion Xerox-Fuji merger. Following a two-day evidentiary hearing in New York Supreme Court, the court preliminarily enjoined the transaction and, for the first time under New York law, also allowed Xerox shareholders to nominate new director candidates even though the company’s notice deadline had passed. Deason v. Fujifilm Holdings Corp., et al., Index No. 650675/2018 and Deason v. Xerox Corp., et al., Index No. 650988/2018 (N.Y. Sup. Ct. Apr. 27, 2018).
