The lawsuit challenged proposed revisions to Mullen Automotive, Inc.’s capital structure at an upcoming shareholder meeting. However, the issues raised in the litigation were ultimately mooted. Subsequently, plaintiffs’ counsel moved for a substantial fee award. The court ruled on the motion for fees and significantly reduced the requested amount.
In a related matter, King & Spalding also represented Mullen Automotive in filing a Section 205 petition, under the Delaware General Corporate Law, successfully ratifying and validating actions stemming from a prior shareholder vote.
