K&S advises Sidetrade SA, a French publicly listed company, on the takeover of German publicly listed company SHS Viveon AG. The transaction consisted of more than 50 individually concluded share purchase agreements, a public tender offer, a delisting of the target and included the court appointment of Sidetrade’s nominees on the board of SHS Viveon as well as a contested annual shareholder meeting where activist shareholders tried to block significant changes to the corporate governance of the target.
