Carolyn Alford is a partner in, and Deputy Practice Group Leader for, the Finance Practice Group at King & Spalding, where her practice focuses on representing lenders, investors and borrowers in debt financings, including syndicated credit facilities on both a leveraged and investment grade basis; private placements; acquisition financings; cash flow and asset-backed financings; asset-based lending; mezzanine financings; and project financings. Ms. Alford has specific industry expertise in energy, healthcare/pharma and media/communications.

Selected recent transactions include:

  • Represented Prudential Capital Group and its affiliates in the purchase of privately placed senior notes, senior subordinated notes and equity investments in a wide array of diversified businesses, including, without limitation, a $70 million senior secured note investment in a Southeastern chemicals and coating manufacturer, the proceeds which were used to purchase an adhesives business.

  • Represented Goldman Sachs Specialty Lending Group, LP as administrative agent in providing $110 million of senior secured financing to a super-regional provider of colocation, managed hosting and business continuing solutions through datacenters in multiple states.

  • Represented GE Healthcare Finance as administrative agent in providing an asset-based lending facility to a specialty pharmaceutical company engaged in the development, manufacturing, and marketing of branded and multi-source pharmaceutical products.

  • Represented SunTrust Bank as administrative agent and SunTrust Robinson Humphrey Inc. as lead arranger in providing $900 million of senior credit facilities to Atmos Energy Corporation, the country's largest natural-gas-only distributor, serving about 3.2 million natural gas distribution customers in more than 1,600 communities in 12 states.

  • Represented SunTrust Bank as administrative agent and SunTrust Robinson Humphrey Inc. as lead arranger in connection with a $750 million multi-currency revolving credit facility for Harris Corporation, an international communications and information technology company serving government and commercial markets worldwide.

Ms. Alford earned her bachelor's degree in mathematics from Duke University in 1989, graduating magna cum laude, and as a member of Phi Beta Kappa. She obtained her law degree, cum laude, from the Harvard Law School where she served as an editor of Harvard Journal on Legislation.

Ms. Alford is a Fellow of both the American College of Investment Counsel and the American College of Commercial Finance Lawyers. She is a member of the Atlanta Bar Association, the State Bar of Georgia and the Women's Finance Exchange. She served on the Revised Article 9 Committee for the State Bar of Georgia and is a past chair of the Legal Opinion Committee of the Business Law Section of the State Bar of Georgia.
